IMPORTANT NOTICE: PLEASE READ THESE TERMS CAREFULLY BEFORE USING SHARPROOF. BY ACCESSING OR USING THE PLATFORM, YOU CONFIRM THAT YOU ARE 18 YEARS OF AGE OR OLDER, THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS, AND THAT YOU AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.

1.1 Sharproof is a global sports betting intelligence platform that provides users with betting analytics, odds data, closing line value (CLV) tracking, market information, community features, and related tools (collectively, "Services").

1.2 Sharproof is not a bookmaker, sportsbook, casino, or licensed gambling operator. We do not accept bets, hold funds on behalf of users for gambling purposes, or facilitate wagering transactions. Any reference to "bets" within the Platform refers to simulated or tracked wagers for analytical and informational purposes only.

1.3 Sharproof was previously operated under the name Slipstakes. These Terms of Service supersede and replace all prior terms, policies, and agreements published under the Slipstakes name. Sharproof assumes no liability for any claims, disputes, or issues arising from use of the prior Slipstakes platform. By continuing to use Sharproof, former Slipstakes users agree to these updated Terms.

1.4 Sharproof is intended for use by adults in jurisdictions where access to the Platform is lawful. We promote responsible engagement with sports data and betting-related information.

2.1 You must be at least 18 years of age to create an account or use any feature of the Platform. By checking the age verification checkbox during registration, you confirm under penalty of account termination that you are 18 years of age or older.

2.2 Where local law requires a higher minimum age for participation in gambling-related activities, you are responsible for complying with those laws. If you are in a jurisdiction where accessing sports betting information is restricted or prohibited, you must not use the Platform.

2.3 Sharproof reserves the right to request proof of age at any time and to suspend or permanently terminate accounts where age verification cannot be confirmed.

2.4 We do not knowingly allow persons under the age of 18 to use the Platform. If we become aware that a user is underage, their account will be terminated immediately and any associated data deleted.

3.1 You must create an account to access most features of the Platform. You agree to provide accurate, complete, and current information during registration and to keep this information up to date.

3.2 You are solely responsible for maintaining the confidentiality of your account credentials. You must not share your login details with any third party. You are responsible for all activity that occurs under your account.

3.3 You must notify us immediately at support@sharpproof.com if you believe your account has been compromised.

3.4 Sharproof reserves the right to suspend, restrict, or terminate any account at any time, with or without notice, for any reason including but not limited to breach of these Terms, suspected fraud, or abuse of the Platform or its community features.

3.5 You may not create multiple accounts to circumvent a ban or restriction, to access features reserved for other subscription tiers, or to abuse the access code system.

4.1 Sharproof offers a free audience tier together with paid creator plans. Audience access covers the core analytics, tracking, and community surfaces, including limited starter pool creation. Creator plans unlock larger pool operation, advanced pool formats, creator rooms, subscriber tools, and access-code workflows.

4.2 Access codes may be issued by Sharproof or by verified Creators on the Platform. Access codes are personal and non-transferable unless explicitly stated otherwise. Selling, auctioning, or commercially distributing access codes is strictly prohibited.

4.3 Subscription fees, where applicable, are billed in advance and are non-refundable except where required by applicable law. Without limiting the foregoing, if Sharproof suspends, terminates, or permanently bans an account for breach of these Terms, fraud, abuse, chargeback risk, evasion, misconduct, or any other enforcement-related ground, any unused portion of a paid plan, subscription, access entitlement, code redemption benefit, or prepaid access period shall be immediately forfeited and shall not be refundable, creditable, transferable, or subject to prorated reimbursement to the fullest extent permitted by applicable law. We reserve the right to modify subscription pricing with 30 days notice to affected subscribers.

4.4 During the closed beta period, the Platform is provided free of charge to invited users. Sharproof makes no representations that features available during beta will remain available or free after the beta period ends.

4.5 Sharproof is not currently a licensed payment processor. Any payment functionality, when introduced, will be operated through a regulated third-party payment provider. Sharproof is not responsible for payment disputes with third-party providers beyond facilitating their resolution.

5.1 Verified Creators may mint and distribute access codes, publish posts and tips, manage subscribers, and access creator analytics tools.

5.2 Creators are independent contributors and are not employees, agents, or representatives of Sharproof. Creators are solely responsible for the accuracy, legality, and quality of content they publish.

5.3 Creators must not publish content that constitutes financial advice, guaranteed tipster predictions, or any content designed to manipulate betting markets.

5.4 Sharproof reserves the right to revoke Creator status, remove content, and terminate Creator accounts at any time for violation of these Terms or community standards.

5.5 Any revenue-sharing or compensation arrangement with Creators is governed by a separate Creator Agreement. These Terms do not create any entitlement to compensation.

6.1 All content, software, design, trademarks, logos, and materials on the Platform ("Sharproof Content") are owned by or licensed to Sharproof and are protected by applicable intellectual property laws.

6.2 You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for personal, non-commercial purposes only.

6.3 You must not copy, reproduce, distribute, scrape, reverse engineer, or create derivative works from any Sharproof Content without our prior written consent.

6.4 Odds data displayed on the Platform is sourced from third-party providers (including API-Football and The Odds API) and is subject to those providers' terms. Sharproof makes no representations about the accuracy or completeness of third-party data.

6.5 The name "Sharproof," the Sharproof logo, and all associated brand assets are trademarks of Sharproof. All prior Slipstakes branding has been retired and must not be used in connection with the current Platform.

7.1 By submitting content to the Platform, including messages, posts, tips, analysis, or any other material, you grant Sharproof a worldwide, royalty-free, non-exclusive licence to use, display, reproduce, and distribute that content in connection with the operation of the Platform.

7.2 You retain ownership of content you create. By posting it on the Platform, you confirm it does not infringe any third-party rights and does not violate applicable law.

7.3 You must not post content that is unlawful, harmful, defamatory, harassing, fraudulent, or in violation of any third-party rights.

7.4 You must not use chat, comments, articles, or creator surfaces to harass members, promote fixed-match claims, sell sure bets, threaten users, or coordinate abusive behaviour. Sharproof may remove this content without notice.

7.5 Sharproof is not responsible for user-generated content and does not endorse any tips, predictions, or analysis posted by users or Creators.

You must not use the Platform for any unlawful purpose or in any manner that violates these Terms.

You must not attempt to gain unauthorised access to any part of the Platform or its underlying systems.

You must not use automated scripts, bots, or scrapers to access the Platform without our written consent.

You must not manipulate, tamper with, or reverse engineer any odds, calculations, or Platform features.

You must not impersonate any person or entity or misrepresent your affiliation with any person or entity.

You must not post, transmit, or distribute malware, spam, or any harmful code.

You must not attempt to circumvent the access code system or subscription tiers through technical or social means.

You must not use the Platform to solicit, advertise, or promote third-party gambling services.

You must not market sure bets, fixed matches, insider guarantees, refund scams, or similar misleading gambling claims through any Sharproof surface.

You must not engage in abuse, harassment, hate speech, doxxing, intimidation, or repeated unwanted contact toward other members.

You must not share your account credentials or access codes in violation of Section 4.2.

You must not engage in any conduct that disrupts, damages, or impairs the Platform or other users' experience.

Violations may result in content removal, account restrictions, suspension, or permanent bans. Where access is removed for serious abuse or fraud, Sharproof may refuse refunds to the fullest extent permitted by law.

9.1 THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 SHARPROOF DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY ODDS DATA, ANALYSIS, OR OTHER INFORMATION PROVIDED ON THE PLATFORM. ODDS AND BETTING MARKETS CHANGE RAPIDLY AND DISPLAYED VALUES MAY NOT REFLECT CURRENT MARKET CONDITIONS.

9.3 NOTHING ON THE PLATFORM CONSTITUTES FINANCIAL ADVICE, INVESTMENT ADVICE, OR ENCOURAGEMENT TO GAMBLE. ALL DECISIONS TO PLACE BETS WITH A LICENSED BOOKMAKER ARE MADE ENTIRELY AT YOUR OWN RISK.

9.4 SHARPROOF IS NOT RESPONSIBLE FOR ANY GAMBLING LOSSES INCURRED BY USERS WHO ACT ON INFORMATION, ANALYSIS, OR TIPS FOUND ON THE PLATFORM.

9.5 THE PLATFORM MAY EXPERIENCE DOWNTIME, ERRORS, OR DATA DELAYS. WE DO NOT GUARANTEE UNINTERRUPTED ACCESS.

10.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHARPROOF, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM.

10.2 SHARPROOF'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO SHARPROOF IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $50 USD, WHICHEVER IS GREATER.

10.3 THESE LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION AND WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.

10.4 NOTHING IN THESE TERMS EXCLUDES LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR ANY LIABILITY THAT CANNOT BE EXCLUDED BY LAW.

You agree to indemnify, defend, and hold harmless Sharproof and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Platform.

12.1 These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

12.2 Sharproof is accessible to users in multiple countries. You are responsible for ensuring that your access to and use of the Platform complies with the laws applicable in your jurisdiction.

12.3 Any dispute arising from these Terms or your use of the Platform shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, such dispute shall be subject to the exclusive jurisdiction of the courts of Nigeria.

12.4 Nothing in this section prevents Sharproof from seeking injunctive or other equitable relief in any jurisdiction to protect its intellectual property, confidential information, or platform security.

13.1 Sharproof is committed to promoting responsible engagement with sports betting information. If you or someone you know has a gambling problem, please seek help from a qualified support organisation in your region.

13.2 The Platform includes age verification as a first line of protection. Users who believe a minor has accessed the Platform should contact us immediately at support@sharpproof.com.

13.3 Sharproof reserves the right to implement additional responsible gambling features at any time, including self-exclusion tools, usage limits, and referral to support resources.

14.1 We reserve the right to modify these Terms at any time. We will notify registered users of material changes by email or prominent notice on the Platform.

14.2 Continued use of the Platform after the effective date of any changes constitutes acceptance of the updated Terms.

14.3 If you do not agree to the updated Terms, you must stop using the Platform and may request deletion of your account.
